Terms of Service

The short version. ElquoAI is analysis software, not a broker, not an adviser and not a fund. We never hold your money and we cannot withdraw it. Every trade is yours: you decide, on your own exchange account, with your own keys. Trading is risky and you can lose money. We do our best to keep the service working but we cannot promise profits or perfect uptime. This summary is for orientation only — the numbered sections below are the actual agreement.

These Terms of Service (the "Terms") are a binding agreement between you and the operator of ElquoAI (the "Service", "we", "us"). Please read them before using the Service. By creating an account you confirm you have read and accept them.

1. Who you are contracting with

The Service is operated by Fēlikss Zariņš, trading as ElquoAI (Private individual (fiziska persona)), based in Krūzes iela 2, LV-1046, Riga, Latvia.

2. What the Service is

ElquoAI is proprietary software that analyses cryptocurrency market data and produces informational analysis: automated trend scanning, AI-driven setup grading, momentum validation, historical backtest simulation, a news terminal, and Telegram alerting. It may optionally place orders on an exchange account that you connect, using API keys that you create and control.

3. What the Service is not

European Union (MiFID II / ESMA). We are a provider of informational software tools. We do not provide investment advice, asset management, or portfolio management services. No information, alert, or setup generated by our models constitutes a personal recommendation, an offer, or a solicitation to buy or sell any financial instrument.

United States (SEC / CFTC). We are not registered as an investment adviser with the U.S. Securities and Exchange Commission, nor as a Commodity Trading Advisor with the Commodity Futures Trading Commission. We do not manage customer funds or execute trades on behalf of third parties.

We are not a broker, exchange, custodian or payment institution. We hold no client money and no client assets at any time.

4. Eligibility

To use the Service you confirm that you:

  • are at least 18 years old and legally able to enter into this agreement;
  • are not resident in, or acting on behalf of anyone in, a country subject to comprehensive EU or UN sanctions, and are not a sanctioned person;
  • are permitted to use automated trading tools and to trade cryptocurrency derivatives under the laws that apply to you. That is your responsibility to establish, not ours.

5. Your account

You are responsible for your credentials and for everything done through your account. Tell us at admin@elquoai.com promptly if you believe it has been used without your permission. Do not share your account.

6. Connecting exchange API keys

You may connect API keys for a supported exchange so that the Service can place orders on your own account. This is voluntary and carries a high level of financial risk. By connecting keys you agree that:

  • you are authorising self-directed execution on your own account;
  • you assume full personal, financial and legal responsibility for every resulting trade, fee, profit and loss;
  • you will grant only the permissions needed to read data and trade futures, and you will never enable withdrawal permissions. We never ask for them and the Service has no withdrawal capability;
  • you can revoke the keys at your exchange at any moment, which immediately ends our ability to act on your account.

Before live execution can be switched on you must separately read and accept the Risk Disclosure.

7. Plans, billing and taxes

Paid plans are billed in advance on a recurring monthly basis through our payment processor, Stripe. Prices are shown on the pricing page and include any applicable VAT where we are required to charge it. Your subscription renews automatically until you cancel. Card details are handled by Stripe and never reach our servers.

8. Cancellation

You may cancel at any time from your account. Cancellation stops the next renewal; your plan stays active until the end of the period you have already paid for. You may also close your account entirely, which cancels billing immediately — see the Privacy Policy for what happens to your data.

9. Your right of withdrawal, and why you are asked to waive it

As a consumer in the EU you normally have 14 days to withdraw from a distance contract. For digital services that begin immediately, that right can be waived — and because the Service is available to you the moment you subscribe, we ask you to waive it at checkout. If you do, you acknowledge that you lose the statutory 14-day withdrawal right (Consumer Rights Directive art. 16(m)). We record that you were asked and what you chose.

Separately, and voluntarily, we offer our own refund window. If you are unhappy within 14 days of your first payment, email admin@elquoai.com and we will refund it. This is our own promise, in addition to whatever rights you have by law, and it does not reduce them.

10. Acceptable use

You agree not to:

  • resell, sublicense, or provide the Service to third parties as your own, including operating it as a signal-selling or managed-account business;
  • copy, reverse-engineer, scrape or attempt to extract the models, prompts or strategy logic;
  • attack, overload, or probe the Service or its infrastructure, or attempt to access another user's account or data;
  • use the Service for market manipulation or any unlawful purpose.

11. Intellectual property

The Service, including its software, models, prompts and interface, remains ours. You receive a limited, non-exclusive, non-transferable right to use it while your account is in good standing. Your own data — your settings, your strategies, your trade history — remains yours, and you can export it at any time from Settings.

12. Suspension and termination

We may suspend or close an account that breaches these Terms, that we reasonably believe is being used unlawfully, or where required by law. Where it is reasonable to do so we will tell you why and give you a chance to put it right. You may close your account at any time. Sections that by their nature should survive termination — liability, indemnity, governing law — do so.

13. No warranty

The Service is provided "as is" and "as available". We do not warrant that it will be uninterrupted, error-free, or that any analysis, signal or backtest will be accurate or profitable. Past performance does not predict future results. Market data, news and pricing come from third parties and may be delayed, incomplete or wrong.

14. Limitation of liability

To the fullest extent permitted by law, we are not liable for trading losses, lost profits, missed opportunities, exchange liquidations, order-execution errors, network latency, third-party outages, or any indirect or consequential loss arising from your use of the Service.

Where we are liable, our total aggregate liability is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded.

15. Indemnity

If your breach of these Terms or your unlawful use of the Service causes a claim against us by someone else, you agree to cover the reasonable costs of dealing with it. This does not apply to consumers except to the extent permitted by law.

16. Events outside our control

We are not responsible for failures caused by events beyond our reasonable control, including exchange outages or API changes, internet or hosting failures, third-party AI or data-provider outages, regulatory action, or force majeure.

17. Governing law, and your rights as a consumer

These Terms are governed by the laws of Latvia and the European Union.

Nothing in these Terms limits any right you have as a consumer that cannot be limited by law. If you are a consumer resident in the EU, you keep the protection of the mandatory rules of your own country, and you may bring proceedings in the courts of the country where you live. Where you are not a consumer, the courts of Riga, Latvia have exclusive jurisdiction.

EU consumers may also use the European Commission's Online Dispute Resolution platform. We would much rather you emailed us first.

18. Changes to these Terms

We may update these Terms. Every version carries a version number and an effective date, shown at the top of this page. If a change materially affects your rights we will tell you and ask you to accept the new version before you continue using the Service. Continuing to use it after accepting means you agree to it.
